Genstore Partners - Terms of Service

Welcome to Genstore Partners! By signing up for a Genstore Partners Account (as defined in Section 1) or by using any Genstore Partners Services (as defined below), you are agreeing to be bound by the following terms and conditions (the "Terms of Service").

In these Terms of Service, "we," "us," "our," and "Genstore Partners" refer to the applicable contracting party of Genstore Partners, and "you" refers to individuals or entities that are verified and approved Genstore Partners users capable of developing applications based on Genstore Partners. Genstore Partners' open platform refers to the Genstore Partners website and its subpages owned, controlled, and operated by Genstore Partners (and/or its affiliated companies and subsidiaries), hereinafter referred to as "Genstore Partners." Developers can utilize specified functional services on Genstore Partners for development purposes to serve themselves or other Genstore Partners users. Any services provided by Genstore Partners are referred to as the "Service" in these Terms of Service. Any new features or tools added to the current Service are also subject to these Terms of Service. You must read, agree to, and accept all the terms of service included in or specifically referenced in these Terms of Service, including Genstore Partners' Privacy Policy, before you can register a Genstore Partners account or use any Genstore Partners services. Using Genstore Partners or any Genstore Partners services indicates your agreement to these terms. Please ensure to check back periodically for updates.

1. Account Terms

1. To access and use the Service, you must register a Genstore Partners account ("Account"). To complete the account registration, you must provide us with your full legal name, business address, phone number, valid email address, and any other necessary information. Genstore Partners may, at its sole discretion, reject your account application or terminate existing accounts for any reason.
2. You must be: (i) at least 18 years old, or (ii) the age of majority in your jurisdiction of residence or the jurisdiction in which you open an account for the Service.
3. You should accurately fill out and submit account registration and developer certification information, and be responsible for the authenticity, legality, accuracy, and validity of the information; you have the relevant legal qualifications to use the Service, access and operate applications, or provide related services; the entity qualification materials, relevant qualifications or certifications, and any other documents you provide are true, accurate, and complete, and you must update them promptly in case of any changes.
4. You understand that Genstore Partners will use the email address you provide when opening an account or that you update from time to time as the primary means of communication with you ("Primary Email Address"). You must monitor the Primary Email Address you provide to Genstore Partners, and it must be capable of sending and receiving messages. Your email communications with Genstore Partners must come from your Primary Email Address to be authenticated.
5. You are responsible for ensuring the security of your password. Genstore Partners cannot be held liable for any loss or damage resulting from failure to maintain the security of your account and password, nor will it assume such liability. We may request additional security measures at any time and reserve the right to adjust these requirements at our sole discretion.
6. Technical support related to the Service is only provided to Genstore Partners developers. Questions regarding these Terms of Service should be sent to Genstore Partners Support.
7. You agree not to reproduce, copy, sell, resell, or exploit any part of the Service without Genstore Partners' explicit written permission, nor use or access the Service.
8. You agree not to use any robots, search engine spiders, scraping tools, or other automated means to access the Service or monitor any content or information within the Service.

2. Genstore Partners Rights

1. The Service includes a range of special features and functions, but not all services or functions are available to all merchants at all times, and we are under no obligation to provide any service or function in any jurisdiction. Except where prohibited by these Terms of Service or applicable law, we reserve the right to modify the Service or any part thereof at any time and for any reason, without notice.
2. Genstore Partners does not pre-screen content, and we may, at our sole discretion, refuse any content or remove any content from any part of the Service if we determine that the goods or services you offer through the Service, or the content you upload to the Service, violate these Terms of Service.
3. Any form of verbal or written abuse (including threatening or retaliatory abuse) towards Genstore Partners employees, members, or executives will result in immediate account termination.
4. We reserve the right to provide services to your competitors and do not commit to exclusive service.

3. Your Responsibilities

1. You acknowledge and agree to provide publicly available contact information and product information on your Genstore Partners platform.
2. You acknowledge and agree that the Service is not a marketplace, and any sales contracts entered into through the Service are directly concluded between you and the customer. You are the record seller of all goods sold through the Service. You are responsible for creating and managing any goods and services you may sell through the Service, as well as all aspects of transactions between you and your customers. This includes, but is not limited to, authorizing charges to customers related to customer purchase transactions, refunds, returns, fulfilling any sales or customer service, fraudulent transactions, necessary legal disclosures, regulatory compliance, suspected or actual violations of applicable laws (including, but not limited to, consumer protection laws in any jurisdiction where you offer products or services for sale), or your violation of these Terms of Service. You represent and warrant that your content and the goods and services you sell through the Service will be true, accurate, and complete, and will not violate any applicable laws, regulations, or third-party rights. To avoid doubt, Genstore Partners will not be a seller, merchant, or record keeper, nor will it be responsible for the goods you sell to customers through the Service.
3. You are fully responsible for any goods or services you sell through the Service (including descriptions, prices, fees, taxes you calculate, defects, required legal disclosures, regulatory compliance, promotions, or promotional content), including compliance with all applicable laws or regulations.
4. You may not use Genstore Partners services for any illegal or unauthorized purpose, and you must not violate any laws of your jurisdiction (including, but not limited to, copyright law), any laws applicable in your customer's jurisdiction, or the laws of the United States and California when using the Service. You must comply with all applicable laws, regulations, and rules when using the Service and fulfilling your obligations under these Terms of Service.
5. Your access to and use of the Genstore Partners API (as defined in these Terms of Service) is governed by the API Terms. You are fully responsible for activities conducted using API credentials (as defined in the "API Terms"), and you are also responsible for ensuring the security of your API credentials.

4. Payment Fees and Taxes

Developers agree that some technical capabilities of Genstore Partners (such as interfaces, message pushes, development containers, etc.) are provided free of charge, but Genstore Partners reserves the right to start charging for free services, and Genstore Partners may modify and change the收费标准 and methods of paid services according to actual needs, and Genstore Partners also reserves the right to start charging for free services. Before the aforementioned modifications, changes, or start of charging, Genstore Partners will notify or announce on the corresponding service pages. If developers do not agree with the aforementioned modifications, changes, or paid content, they should stop using the relevant services.

5. Liability Limitation and Indemnification

1. You expressly understand and agree that, to the extent permitted by applicable law, Genstore Partners and its suppliers shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses resulting from or related to the use or inability to use the Service or these Terms of Service (regardless of the cause, including negligence).
2. You agree to indemnify and hold us and (if applicable) our parent company, subsidiaries, affiliates, Genstore Partners partners, officers, directors, agents, employees, and suppliers harmless from any claim or demand made by a third party, including reasonable attorneys' fees, due to or arising out of: (a) your violation of these Terms of Service or any document incorporated by reference; (b) your violation of any law or infringement of a third party's rights; or (c) any aspect of your transactions with your customers, including but not limited to refunds, fraudulent transactions, suspected or actual violations of applicable laws (including but not limited to federal and state consumer protection laws), or your violation of these Terms of Service.
3. You will be responsible for the actions of your affiliates, agents, or subcontractors in violation of these Terms of Service and will be liable for such violations as if they were your own.
4. The risk of using the Service is solely yours. The Service is provided "as is" and "as available" without any express, implied, or statutory warranty or condition.
5. Genstore Partners does not guarantee uninterrupted, timely, secure, or error-free service.
6. Genstore Partners does not guarantee the accuracy or reliability of the results obtained through the use of the Service.
7. Genstore Partners is not responsible for any tax obligations or responsibilities related to your use of the Genstore Partners Service.
8. Genstore Partners does not guarantee the quality of any products, services, information, or other content purchased or obtained through the Service to meet your expectations, nor does it guarantee that any errors in the Service will be corrected.

6. Intellectual Property and Your Content

6.1 Your Content

You agree that Genstore Partners may, at any time, review and delete any service or all content submitted to the Genstore Partners platform, but Genstore Partners is under no obligation to do so.

6.2 Genstore Partners Intellectual Property

1. You agree that, unless you have received written authorization from Genstore Partners, you will not use any of Genstore Partners' trademarks, logos, or service marks, whether registered or not. You agree not to use or adopt any signs that may be considered confusing with Genstore Partners' trademarks. You agree that any trademarks or misspellings that are individually different from Genstore Partners' trademarks will be considered confusing with Genstore Partners' trademarks.
2. You acknowledge and agree that these Terms of Service do not grant you any rights to implement Genstore Partners' patents.
3. Regarding the data generated by developers in the process of providing services to users through developer applications, Genstore Partners respects the data rights of developers and other relevant entities. On this premise, the rights related to the data (including but not limited to user registration information, user usage data for developer applications) collected and recorded by Genstore Partners in the process of using the services provided by Genstore Partners and in the operation of Genstore Partners belong to Genstore Partners and are Genstore Partners' trade secrets. Without prior written consent from Genstore Partners, developers may not save or use the aforementioned data for purposes other than those agreed in this agreement, nor may they provide the aforementioned data to others in any form.

7. Privacy and Data Protection

The use and collection of personal information by Genstore Partners are governed by our Privacy Policy. Genstore Partners is firmly committed to protecting the privacy of your personal information. Using the Service means that you acknowledge and agree that the collection, use, and disclosure of personal information by Genstore Partners are governed by our privacy policy.

8. Term and Termination

The term of these Terms of Service begins on the date you complete registration to use the Service and continues until terminated by us or you as provided below (the "Term").

You may cancel your account and terminate these Terms of Service at any time by contacting Genstore Partners Support and following the specific instructions in Genstore Partners' response.

Without limiting any other remedies, we may suspend or terminate your account or these Terms of Service at any time for any reason (unless otherwise required by law), without prior notice, including: if we suspect that you are involved in fraudulent activities related to the use of the Service (through conviction, settlement, insurance, or custodial investigation or other means); if you violate any of Genstore Partners' terms, agreements, rules, notices, etc., and Genstore Partners terminates the provision of services. The termination of these Terms of Service shall not affect any rights or obligations arising before the termination date.

If either party terminates the service for any reason:

• Genstore Partners will cease to provide services to you, and you will no longer be able to access your account;
• Unless otherwise provided in these Terms of Service, you are not entitled to any refund of fees on a pro-rata or other basis;
• Any outstanding accounts you owe to Genstore Partners for the use of Genstore Partners services before the termination date will become immediately due and payable in full; and Genstore Partners will cease to provide services to you.
• On the termination date, if you have any outstanding fees, we will send you a final invoice via email. After the full payment of that invoice, we will not charge you any fees.

9. Amendments

If we make significant changes to these Terms of Service that affect your rights under these Terms of Service or your use of our services, we will notify you in advance (unless the corresponding changes involve legal requirements or are used to prevent abuse of our services).

We reserve the right to update or change any part of these Terms of Service at any time at our sole and absolute discretion. If the changes to these Terms of Service significantly affect your use of the services or your rights under these Terms of Service, we will provide you with reasonable advance notice by sending an email to the primary email address, providing notice through the Genstore Partners admin console, or through similar methods. However, in the following cases, Genstore Partners may make changes that significantly affect your use of the services or your rights under these Terms of Service and take effect immediately: (i) for legal, regulatory, fraud prevention, and abuse or security reasons; or (ii) to restrict products or activities that we consider unsafe, inappropriate, or offensive. Unless we specify otherwise in the notice (if applicable), any modifications to these Terms of Service will take effect immediately upon the updated terms being posted in this location. Your continued access to or use of the services after we provide such notice (if applicable), or after we post such updated terms, indicates your acceptance of the changes and your agreement to be bound by the modified Terms of Service. If you do not agree to the revised Terms of Service, you must stop accessing and using the services.

Genstore Partners may change the fees for the services at any time. We will send you a notice 30 days before any changes to the fees by sending an email to the primary email account, providing notice through the Genstore Partners admin console, or similar methods. Genstore Partners is not responsible to you or any third party for any modifications to the services (or any part thereof), price changes, suspensions, or discontinuations.

10. General Conditions

These Terms of Service (including other documents incorporated by reference) constitute the entire agreement between you and Genstore Partners regarding your use of the services and account, and supersede any prior agreements between you and Genstore Partners (including but not limited to any prior versions of the Terms of Service).

If Genstore Partners fails to exercise or enforce any right or provision of these Terms of Service, it does not constitute a waiver of that right or provision. If a court of competent jurisdiction determines that any provision of these Terms of Service (including all terms and other documents incorporated by reference) is illegal, Genstore Partners will modify and interpret such provisions to the maximum extent allowed by law to achieve the original intent of the provision, and the remaining provisions of these Terms of Service remain fully effective.

Except for Genstore Partners and its affiliates, you, or anyone accessing Genstore Partners services under these Terms of Service, no person or entity not a party to these Terms of Service has any right to enforce any term of these Terms of Service, whether or not such person or entity is identified as a member of a particular group or fits a particular description. To avoid doubt, this does not affect the rights of any permitted assignee or transferee of these Terms of Service.

These Terms of Service are governed by and interpreted in accordance with the laws of California and applicable U.S. laws, without regard to principles of conflict of laws.

These Terms of Service may be available in languages other than English. In the event of any inconsistency or conflict between the English version of these Terms of Service and the version provided by Genstore Partners in another language, the English version of these Terms of Service on this site shall prevail. Any disputes arising from these Terms of Service will be resolved in English, unless Genstore Partners (at its sole discretion) decides otherwise or applicable law requires otherwise.

All terms and provisions of these Terms of Service are established for the benefit of the parties to the Terms of Service and their respective successors, assigns, and representatives, and are binding upon and inure to the benefit of the aforementioned parties. Genstore Partners is allowed to assign these Terms of Service, without prior notice to you or obtaining your consent. You have no right to assign these Terms of Service or your rights or obligations to any third party without obtaining prior written consent from Genstore Partners, and Genstore Partners will decide whether to agree to the assignment.

If any term or part of any term of these Terms of Service is deemed invalid, illegal, or unenforceable for any reason, such invalidity, illegality, or unenforceability will not affect any other term (or the unaffected part of the term) of these Terms of Service, and these Terms of Service will be interpreted as if such invalid, illegal, or unenforceable term or part of the term was never included in the Terms of Service.

Upon termination, all rights and obligations under these Terms of Service terminate immediately, except that you will remain responsible for fulfilling all obligations related to transactions conducted before termination, as well as any liabilities arising before or as a result of termination.
